That said, we warmly welcome not only all word contributions but also comments and suggestions from those interested in words – please write to us at contact@quickdef.com. During the Beta phase, please feel free to experiment and add as many words and/or missives as you wish, in any event we commit ourselves to rectifying or removing any entries you are not happy with within 24 hours.

Your use of this site following the posting of such changes will mean you have accepted the changed terms.

Access

    1. You are welcome to use, browse and link to this site without registration. In order to access and use some features of the Quickdef website, you will have to register for a Quickdef account. You will receive a password and account designation upon completing the Quickdef website’s registration process. You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password or account. You may never use another’s account without permission. When creating your account, you must provide accurate and complete information.
    2. You must notify Quickdef immediately of any breach of security or unauthorized use of your account. Although Quickdef will not be liable for a registered user’s losses caused by any unauthorized use of your account, you may be liable for the losses of Quickdef or others due to such unauthorized use.
    3. Children under the age of 13 are welcome to use the site as readers. However, because we do not collect personally identifiable information from young users, they are not allowed to register on the website.
    4. Because registrants must submit personally identifiable information to register, we want you to know that this Quickdef website is controlled and offered by Quickdef from its domain for use in the United States of America. Quickdef makes no representations that registration on the Quickdef website is appropriate or available for individuals or entities located in other countries. Restrictions on Posting Materials

You must register to post a definition. Registrants are entirely responsible for all content that you upload, post, e-mail or otherwise transmit to the site. Although Quickdef does not necessarily control postings on the site, Quickdef retains the right to remove any material that violates any of the Terms of Use or is otherwise objectionable. Quickdef may preserve content off-site and may disclose content. You agree not to use the site to upload, post, e-mail or otherwise transmit:

  1. Content that is threatening, abusive, harassing, defamatory, libelous, pornographic, obscene, invasive of another’s privacy, otherwise tortious or unlawful, hateful, or is racially or ethnically objectionable.
  2. Material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment, or which negatively affects other users’ ability to upload, download, communicate in real time, or utilize features as they have been designed to function.
  3. Material that violates a copyright, license, right of privacy, right of publicity, trademark, privilege, right of confidentiality, fiduciary obligation, trade secret, employment obligation, agreement or other restriction on use.
  4. Material whose use is authorized only when accompanied by a copyright notice, source credit or other required marking or language, unless accompanied by the required marking or language.
  5. Content that constitutes, encourages or provides instructions in committing a criminal offense, violation of another’s rights, or violation of these Terms of Use.
  6. Material that contains known falsehoods (unless for the purpose of disclosing and pointing out such falsehoods), including use of inaccurate identification of content, author, source, your identity or affiliation.
  7. Content outside the stated purpose and scope of the Quickdef website.

Quickdef will notify registrants of their breach of these Terms of Use when Quickdef learns and has reasonable evidence or confirmation of a breach. Quickdef does not undertake in any other manner to protect material posted or transmitted by users. If another user violates the copyright or other restriction on use applicable to material you have posted or transmitted, Quickdef will cooperate with your enforcement efforts by providing you nonprivileged information easily available to Quickdef from its records. Quickdef does not commit to undertake any enforcement efforts itself with respect to such violations, but may bar violators and the entity with which the violator is associated from participating on the website.


Ownership of Content

When you contribute a definition meeting the specific requirements of the Quickdef submission specifications, you agree that you do so as a specially agreed contribution to a collective work or compilation as a “work made for hire.” Your sole compensation will be your right to designate the listing of the initial Wordsmith of the definition. Quickdef retains the right to charge for Wordsmithship after the initial Wordsmithship period and to modify at its discretion the length of the initial free period. To the extent that this agreed contribution is for any reason not effective to transfer complete ownership to Quickdef of all rights in the definition, you agree that your act of submission is intended to transfer ownership by assignment to Quickdef of the definition with an express waiver of any moral rights that might subsist in the definition.

You acknowledge that you will not receive financial consideration of any kind and that to the extent the right of designation of the initial Wordsmith might not be effective or might not occur for any reason, then your transfer is a gift to Quickdef. You understand that a later contributor might provide a definition that is similar to yours and that it can contain content partially identical to yours. You agree that Quickdef is the sole arbiter of acceptance, refusal, replacement and modification of all definitions submitted and that you have no further right or control over your definition after submission.

To the extent any law or application of moral rights would reach a different result, you agree that your submission is an assignment of all moral rights not effectively waived and you agree not to assert against Quickdef, its licensees or transferees, any right that would be contrary to the intent of this paragraph. If for any reason a legal determination is made that your transfer of all rights to Quickdef is not fully effective either as a “work made for hire” or as an assignment or gift, then to that extent you grant Quickdef a worldwide, non-exclusive, royalty-free, sublicenseable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the submission in connection with the Quickdef website and Quickdef’s (and its successors’ and affiliates’) business, including without limitation for the purpose of promoting and redistributing part or all of the Quickdef website (and derivative works thereof) in any media formats and through any media channels


Indemnity

If your actions result in injury to Quickdef, the Quickdef website or cause a third party to make a claim against Quickdef, you agree to defend, indemnify, and hold harmless Quickdef, its managers, officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees). This obligation will survive these Terms of Use and your use of the Quickdef website


Ability to Accept Terms of Use

You affirm that you are either more than 18 years of age, or an emancipated minor, or possess legal parental or guardian consent, and are fully able and competent to enter into these Terms of Use, and to abide by and comply with these Terms of Use. If you are a minor, you affirm that you are using the Quickdef website solely for reading, browsing or as a destination link. To submit a definition or identify a Wordsmith, you must be over the age of 13, because Quickdef registration is not intended for children under 13. If you are under 13 years of age, then please do not register on the Quickdef website. Instead, ask a parent or guardian to determine whether that parent or guardian has the right to submit definitions authored by you and to accept these Terms of Use with respect to the submission and for you to be bound thereby.


Choice of Law; Jurisdiction; Dispute Resolution

You agree that the Quickdef website (1) is deemed to be based solely in the State of Washington, United States of America; and (2) is a passive website that does not give rise to personal jurisdiction over Quickdef, either specific or general, in jurisdictions other than Washington State. These Terms of Use are governed by the internal substantive laws of the State of Washington, without respect to its conflict of laws principles. Any claim or dispute between you and Quickdef that arises in whole or in part from the Quickdef website or matters related thereto shall be referred to mediation before an agreed mediator in a manner acceptable to the parties, which manner may include participation by electronic and/or telephonic means. If any matter is not fully resolved by mediation within 30 days of either party’s request for mediation, then either party may refer the dispute to the American Arbitration Association for decision by a single arbitrator pursuant to the then applicable rules of the Association. Any matter of dispute between the parties that is not covered by this arbitration clause shall be decided exclusively by a court of competent jurisdiction located in King County, Washington, except that a dispute over nonpayment by a Wordsmith or advertiser may at the election of Quickdef be brought in any forum having jurisdiction over the party alleged to be a nonpayer without reference first to mediation or arbitration.


Entire Agreement

These Terms of Use, together with any other legal notices published by Quickdef on the Quickdef website, constitute the entire agreement between you and Quickdef concerning matters related to the Quickdef website. If any provision of these Terms of Use is determined to be invalid, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Use, which shall remain in full force and effect. No waiver of any term of this these Terms of Use shall be deemed a further or continuing waiver of such term or any other term, and Quickdef‘s failure to assert any right or provision under these Terms of Use shall not constitute a waiver of such right or provision. Quickdef reserves the right to amend these Terms of Use at any time and without notice, and it is your responsibility to review these Terms of Use for any changes. Your use of the Quickdef website following any amendment of these Terms of Use will signify your assent to and acceptance of its revised terms. YOU AND QUICKDEF AGREE THAT ANY CLAIM ARISING OUT OF OR RELATED TO THE QUICKDEF WEBSITE MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CLAIM ACCRUES. OTHERWISE, SUCH CLAIM IS PERMANENTLY BARRED.
